Global Web Research GmbH, Aureliaweg 34, 93055 Regensburg (Germany) offers under the brand „CHIP-FLIP“ an information system for electronical and electromechanical components and an information platform for members.
Please note that this is just a translation and only for your help.
II. REGISTRATION
The CHIP-FLIP site is not open to the public and may only be accessed by approved members who agree the terms and conditions of this agreement and pay a membership fee (Full Member). There is no claim for participation.
III. LINKS TO 3RD PARTY SITES
The CHIP-FLIP System may contain links to other web sites ("Linked Sites"). The Linked Sites are not under Global Web Research GmbH control and Global Web Research GmbH is not responsible for the contents. Global Web Research GmbH provides such links to you only as a convenience.
IV. USE OF SYSTEM
Information obtained via the CHIP-FLIP System is for your internal use only and may not be further disseminated, published or otherwise disclosed. As a condition of your use of the CHIP-FLIP System, you represent, warrant and covenant to Global Web Research GmbH that you will not use the CHIP-FLIP System for any purpose that is unlawful or prohibited by these Terms. You may not use the CHIP-FLIP System in any manner that could damage, disable, overburden, or impair the web site or interfere with any other party's use and enjoyment of the CHIP-FLIP System. You may not obtain or attempt to obtain any materials or information from the CHIP-FLIP System through any means not expressly authorized.
Global Web Research GmbH may terminate your access to any or all of the CHIP-FLIP System at any time without notice for any reason.
Global Web Research GmbH shall have no obligation to monitor the Communication Services. However, Global Web Research GmbH reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Global Web Research GmbH reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason.
V. CONTENTS OF CHIP-FLIP
You represent and warrant to Global Web Research GmbH that the information provided by you in your member and/or supplier registration is true, complete and correct and you agree to update such information record periodically as needed. Global Web Research GmbH requires that you are qualified to contract. Global Web Research GmbH cannot accept payments from persons who are not at least eighteen (18) years of age.
Suppliers agree to maintain their inventory data uploaded onto the CHIP-FLIP System as current, both in terms of the content of the inventory file and the frequency of the file uploads.
Suppliers shall not submit a quotation for parts that they do not have the ability to sell and deliver at the time indicated in the quotation.
Each supplier using the CHIP-FLIP System consents and agrees to the collection, tabulation and display to CHIP-FLIP members of supplier quality rating Submissions from other CHIP-FLIP members regarding such supplier.
VI. LIABILITY DISCLAIMER
CHIP-FLIP is just an information platform. All members are responsible for their contents. In no event CHIP-FLIP is liable for any direct or indirect damages (whatsoever).
Global Web Research GmbH does not warrant that the functions contained in the site will be uninterrupted or error-free, that defects will be corrected or the server and the structure of the internet will work without problems.
VII. DURATION OF CONTRACT/CANCELATION
The duration of the contract is 3 months or 1 year. It will renew for another year, if the contract will not be cancelled by written 4 weeks before date of expire.
VIII. FINAL PROVISIONS
This agreement shall be governed by the laws of the Federal Republic of Germany, the location is Regensburg.
